A proposed framework for business customers

These terms are a proposed contractual framework for future Loocas services, supplied by the publisher identified in the legal notice. The website, simulations and login screens currently create no order, subscription or payment. They are intended for persons acting for business purposes and authorised to enter into a contract. A consumer, minor or person whose status does not match the service cannot be bound by accepting this framework alone.

02

Contract formation and applicable documents

A future service binds the parties only once the necessary information has been supplied, an identified quotation or order form has been accepted and Loocas has confirmed it in writing. The accepted document specifies the customer, service actually available, price, taxes, volume, term, activation and payment arrangements. Documents remain downloadable or are supplied in a form that can be retained. In a conflict, the accepted specific agreement prevails, followed by the relevant service terms, then these general terms, without overriding mandatory rules. A marketing page cannot silently expand an order.

03

Prices and charges

Business prices are stated in euros excluding taxes; applicable taxation appears in the contract document and invoice. The e-commerce Network offer provides 100,000 review requests per month for €199 excluding VAT per month. Other website prices and annual benefits remain proposals until confirmed in an order. No overage, paid connector, hardware, rights purchase, creator commission or other extra is charged without prior acceptance of its price and scope. Prices remain fixed during the period already purchased.

04

Invoicing, payment and B2B late payments

Unless another schedule is accepted, the subscription is invoiced at the start of each period from the agreed activation date and payable within thirty calendar days of the invoice. Annual advance billing applies only if expressly selected. No early-payment discount is offered. A reasoned dispute is reviewed without automatically postponing payment of undisputed amounts.

For business-to-business transactions governed by French law, overdue unpaid amounts accrue the late-payment interest required by Article L. 441-10 of the Commercial Code from the day after the due date, without a reminder: the ECB refinancing rate applicable to the half-year plus ten percentage points. The fixed recovery charge is €40 for each affected invoice; additional recovery costs require evidence. Statutory exceptions, including insolvency-related restrictions, continue to apply.

05

Term, renewal and ordinary cancellation

The proposed default is a monthly subscription running from date to date and renewing for one month. The customer may request cancellation before the next renewal, without a cancellation fee or a new minimum term; service continues until the end of the paid period. An annual offer, only if accepted, covers twelve months and may renew for twelve months. Non-renewal may be notified at least thirty days before expiry; a reminder is sent forty-five days before. Promotional benefits have their own written schedule.

Requests are made through the account where that function is available, or using the contractual contact details in the order. A dated confirmation is supplied. Ordinary cancellation does not automatically refund a committed period, but this does not restrict a more favourable agreement, remedies for non-performance or mandatory cancellation or refund rights.

06

Activation, support and availability

Loocas confirms activation after the agreed checks and integrations. The customer supplies accurate information, protects access and appoints authorised users. Support arrangements and any response-time commitments are stated in the order; the website alone promises neither a particular uptime nor around-the-clock intervention. Planned maintenance is announced with reasonable notice. Incidents lead to information, mitigation and corrective action according to their severity. Operation also depends on the customer’s connections and third-party providers, without relieving Loocas of its own obligations.

07

Content, intellectual property and data

Customers retain their rights in their data and content; contributors retain rights in their contributions. Software access transfers no ownership. Distribution licences are limited to documented, authorised uses: a subscription confers no rights in a third party’s review, image, music or video. Personal-data roles and, where necessary, a data-processing agreement are established before real collection begins. Following service termination, customers may request an export of accessible, lawfully exportable customer data for thirty days. Retention periods, compulsory records and deletion follow the applicable data-protection documentation.

08

Changes to the terms

Proposed material changes are notified in a retainable form at least thirty days in advance, or longer where substantial technical adaptation is needed. They do not retroactively alter prices or commitments for a purchased period. If a customer rejects an adverse service change taking effect before that period ends, they may end the affected service without penalty and receive a refund for the paid portion not provided. Measures essential to legal compliance or security may take effect sooner, with reasons supplied. Where Regulation (EU) 2019/1150 applies to the service concerned, its mandatory safeguards supplement this framework.

09

Suspension and non-performance

Suspension is limited to what is necessary for a security risk, manifestly unlawful content, documented fraud or contractual breach. Except in emergencies, a reasoned notice allows observations and fifteen days to remedy the issue. An undisputed overdue payment does not permit disconnection without prior notice. A serious breach remaining uncorrected after formal notice may lead to termination of the affected service, subject to applicable notice periods and safeguards. Reasons and a route to challenge the decision are provided unless legally prohibited. Lawful negative criticism is never grounds for a commercial penalty.

10

Responsibilities and impediments

Each party is responsible for substantiated loss caused by its breaches under applicable law. Loocas guarantees neither sales volumes, favourable ratings, audience growth nor platform income. No provision removes mandatory protections or liability for gross fault, wilful misconduct or personal injury. An event is treated as force majeure only where the legal conditions are met; an ordinary supplier difficulty is insufficient. The parties notify each other and mitigate its effects. If the impediment lasts thirty days, they may end the affected service, without prejudice to payment for completed work and repayment of amounts relating to services not supplied.

11

Review complaints and supplementary expert services

Submitting a review complaint and its initial handling are free of charge. Use of AI tools follows the “AI-assisted moderation” framework. Internal appeals and reviews connected with the exercise of rights remain available free of charge, with effective human involvement where required by applicable rules. No subscription or purchase of expert services is a condition of access, including where safeguards under the Digital Services Act or GDPR apply.

Only a supplementary human expert service that is optional and separate from complaint handling or a legally protected appeal may be proposed at €49 excluding VAT per case. Before any order, a quotation describes its distinct purpose, deliverable, total price, taxes and delivery arrangements. Acceptance must be express: this is neither a subscription nor an automatic charge. A second review of a decision, the exercise of a right or correction of an error cannot become chargeable merely by giving it a different name.

Loocas assesses the nature of the request free of charge before offering this service. If its classification or the requirement for free handling is uncertain, the request is handled free of charge. A separate service cannot be artificially carved out of a mandatory appeal; for a mixed request, the rights-related part remains free and no charge is made if a genuine separation cannot be established.

Expert-service fees never pay for an outcome, priority within a legally protected appeal or removal of a review. Both retention and removal remain based on the rules and evidence, regardless of payment. If a Loocas error is acknowledged in the charged case, the corresponding expert-service fees are refunded in full. A correction that is due, legally necessary removal or exercise of a right is never refused or delayed because this service has not been paid for.

12

Complaints, language and governing law

Complaints may be sent to the publisher’s contact details in the legal notice and contract documents, identifying the order and relevant facts. The parties seek an amicable resolution for thirty days, without preventing urgent relief or automatically suspending statutory time limits. French law is proposed, subject to applicable mandatory rules. Courts are determined by ordinary jurisdiction rules: these terms impose no court in an unidentified city. Any special jurisdiction clause must satisfy legal requirements, including protections for non-traders. French and English versions are available; the chosen contractual language is specified in the order.
